Clients retain ownership of their data and information provided to us. We grant clients a non-exclusive licence to use deliverables created specifically for them under our service agreements.

Confidentiality

We understand that our services may involve access to confidential business information. We commit to:

• Not disclosing client information to third parties without consent

• We shall not be liable for any indirect, consequential, special, or punitive damages
• We exclude liability for loss of profits, business interruption, or loss of business opportunities
• We do not warrant that our services will meet all your requirements or be error-free
• Nothing in these terms excludes liability for death, personal injury, fraud, or other matters that cannot be excluded by law

You acknowledge that these limitations are reasonable given the nature of our services and the fees charged.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, or infrastructure failures.

If a force majeure event continues for more than 90 days, either party may terminate the affected service agreement with written notice.

Termination

These terms remain in effect until terminated. Termination may occur in the following circumstances:

• By mutual agreement between the parties
• By either party with 30 days' written notice (for ongoing services)
• Immediately by CryptoNexae if you breach these terms
• Immediately by either party in case of insolvency or bankruptcy
• Upon completion of all service obligations

Termination does not affect accrued rights, obligations, or liabilities of either party.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Cyprus. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

If you are located in another European Union member state, you may also have rights under your local consumer protection laws.

Dispute Resolution

We encourage resolution of any disputes through direct communication. If a dispute cannot be resolved amicably, we may agree to alternative dispute resolution mechanisms such as mediation before pursuing formal legal proceedings.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original.

Amendments
